1. Agreement to Terms
By accessing or using the services provided by Drakon Systems Ltd ("DrakonSystems", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

2. Description of Services
DrakonSystems provides software-as-a-service (SaaS) solutions, including but not limited to:
- DrakonSystems AI Invoice Importer: A service that automates the import of PDF invoices into Xero accounting software using Claude AI
- Related tools and features for accounting automation
- API access and integrations
- Customer support and documentation
3. Account Registration and Security
3.1 Account Creation
To use our services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Security
- You are responsible for all activities that occur under your account
- You must notify us immediately of any unauthorized access or security breach
- You must not share your account credentials with third parties
- We reserve the right to suspend or terminate accounts that violate these Terms
3.3 Age Requirement
You must be at least 18 years old to use our services. By creating an account, you confirm that you meet this requirement.
4. Subscription and Payment
4.1 Pricing
Current pricing for our services is as follows:
- Free Plan: £0 per month (up to 15 invoices)
- Starter Plan: £29 per month or £278 annually (up to 150 invoices)
- Professional Plan: £79 per month or £758 annually (up to 500 invoices, 1 Xero organization)
- Agent Plan: £139 per month or £1,299 annually (up to 1,000 invoices, up to 10 Xero organizations, for accountants & bookkeepers managing multiple clients)
- Enterprise: Custom pricing for unlimited invoices
All prices are in Pounds Sterling (GBP) and exclude VAT, which will be added at the applicable rate. Annual plans save 20% compared to monthly billing.
4.2 Billing
- Subscriptions are billed monthly in advance
- Payment is processed via Stripe or other approved payment processors
- You authorize us to charge your payment method on a recurring basis
- Invoices are sent via email to your registered email address
- Failed payments may result in service suspension
4.3 Price Changes
We reserve the right to modify our pricing with 30 days' notice. Price changes will not affect your current billing cycle but will apply to subsequent renewals.
4.4 Refund Policy
Refunds are provided at our discretion. If you are unsatisfied with our service within the first 14 days of your initial subscription, please contact support@drakonsystems.com to request a refund. Subsequent monthly charges are non-refundable.
5. Cancellation and Termination
5.1 Cancellation by You
You may cancel your subscription at any time through your account settings or by contacting support. Cancellations take effect at the end of the current billing period. No refunds are provided for partial months.
5.2 Termination by Us
We may suspend or terminate your account if:
- You violate these Terms of Service
- Your payment fails and is not resolved within 7 days
- You engage in fraudulent or illegal activity
- You abuse or misuse our services
- Required by law or regulatory authority
5.3 Data Upon Termination
Upon termination, you will have 30 days to export your data. After this period, we may delete your data in accordance with our data retention policies and legal obligations.
6. Acceptable Use Policy
You agree not to:
- Use our services for any illegal or unauthorized purpose
- Violate any laws, regulations, or third-party rights
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our services or servers
- Use automated systems to scrape or data mine our services
- Resell or redistribute our services without authorization
- Reverse engineer, decompile, or disassemble our software
- Remove or modify any proprietary notices or labels
7. Intellectual Property Rights
7.1 Our Rights
All intellectual property rights in our services, including software, designs, trademarks, and content, are owned by Drakon Systems Ltd or our licensors. You may not use our intellectual property without our prior written consent.
7.2 Your Rights
You retain all rights to the data and content you upload to our services. By using our services, you grant us a limited license to process, store, and transmit your data solely for the purpose of providing our services.
7.3 Feedback
If you provide feedback, suggestions, or ideas about our services, we may use them without any obligation to you.
8. Third-Party Services
Our services integrate with third-party platforms, including:
- Xero: Accounting software for invoice syncing
- Stripe: Payment processing
- Other integrations as may be added from time to time
Your use of third-party services is subject to their respective terms and conditions. We are not responsible for third-party services or their availability.
9. Service Availability and Support
9.1 Availability
We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice when possible. Emergency maintenance may occur without notice.

- Priority support available for Enterprise customers
10. Data Protection and Privacy
Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to our Privacy Policy.
11. Limitation of Liability
11.1 Service "As Is"
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
11.2 Limitation of Damages
To the maximum extent permitted by law, Drakon Systems Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use or inability to use our services.
11.3 Maximum Liability
Our total liability to you for all claims arising from your use of our services shall not exceed the amount you paid to us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Drakon Systems Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
13.2 Jurisdiction
Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13.3 Informal Resolution
Before initiating formal proceedings, we encourage you to contact us at support@drakonsystems.com to resolve disputes informally.
14. Changes to Terms
We may update these Terms from time to time. Significant changes will be notified via email or through our service at least 30 days before they take effect. Continued use of our services after changes constitutes acceptance of the updated Terms. The "Last updated" date at the top of this page indicates when these Terms were last revised.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Drakon Systems Ltd regarding your use of our services.
15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
